1. Acceptance of Terms

By accessing or using the Services, you agree to be bound by these Terms and any additional guidelines we may provide. If you’re using Uniconomic on behalf of a company, you confirm that you have the authority to bind that company to this agreement.

1.2 Updates

We may modify these Terms occasionally. If changes are material, we will notify you. Continued use of the Services means you accept the updated Terms.

2. Definitions

• Services: All Uniconomic offerings including software, apps, and support.
• User: Any person or organization using the Services.
• Account: The profile created to access the Services.
• Subscription: Paid or free access to the Services based on a plan.

3. Access and Use

3.1 License

We grant you a limited, non-transferable license to use the Services for internal business use, subject to these Terms.

3.2 Responsibility

You are responsible for your Account and all activity under it. Notify us immediately of unauthorized access.

3.3 Restrictions

You may not:
- Access others’ data without permission
- Reverse-engineer or tamper with our systems
- Use the Services for unlawful or harmful purposes

4. Subscriptions & Payments

4.1 Plans

The Services are provided on a subscription basis (monthly, quarterly, or annually).

4.2 Fees

Fees are outlined in your order confirmation. Late or failed payments may lead to suspension.

4.3 Cancellations

You may cancel in accordance with your plan’s terms. Fees are non-refundable unless stated otherwise.

5. Support & Availability

5.1 Support

Support is provided as described in your subscription level or service agreement.

5.2 Downtime

We aim for high uptime but may schedule maintenance. We’ll notify you of any significant service interruptions.

6. Confidentiality

6.1 Mutual Protection

Both parties agree to protect each other’s confidential business or technical information.

6.2 Legal Disclosure

Confidential information may only be disclosed if legally required or with written permission.

7. Intellectual Property

7.1 Ownership

All rights to the Services, software, and content remain with Uniconomic or our licensors.

7.2 Limited Use

You may not sublicense, transfer, or share access outside your organization.

8. Data Privacy

8.1 Data Handling

We process your data in compliance with applicable laws and our Privacy Policy.

8.2 Ownership

You retain full ownership of your data. We only process it to provide the Services.

9. Termination

9.1 By You

You may terminate your subscription based on your agreement.

9.2 By Us

We may suspend or terminate access for violations or non-payment.

9.3 Post-Termination

Your data will be deleted after 90 days unless legal obligations require retention.

10. Limitation of Liability

10.1 No Indirect Damages

We are not liable for indirect or consequential losses such as lost profits or data.

10.2 Maximum Liability

Our total liability is limited to the amount paid by you in the 12 months prior to the claim.

11. Governing Law & Disputes

11.1 Governing Law

These Terms are governed by the laws of Denmark.

11.2 Jurisdiction

Any dispute will be subject to the exclusive jurisdiction of the courts of Herning, Denmark.

12. Miscellaneous

12.1 Force Majeure

Neither party is liable for delays caused by events beyond their control.

12.2 Severability

If any part of these Terms is held invalid, the rest remain in effect.

12.3 Entire Agreement

These Terms, together with referenced agreements and policies, form the complete agreement between you and Uniconomic.
